Terms of Service
Terms governing use of our services.
Last updated: 27 October 2026
This English version is provided for convenience. In case of any discrepancy, the German version prevails.
Scope
These Terms apply to all contracts and orders between Vexoris Development ("we") and its clients for web development, web design, hosting, and related digital services.
Deviating terms of the client apply only if we expressly agree to them in writing. Individual agreements — such as an offer, an order confirmation, or a project agreement — take precedence over these Terms.
Formation of contract
The services and prices shown on this website are non-binding and do not constitute a binding offer. Simply visiting this website does not create a contractual relationship.
A contract is formed only when the client accepts our written offer (email is sufficient) or when we confirm an order in writing.
Description of services
Vexoris Development provides custom software development, web design, and related digital services for businesses and communities. Service scope, deliverables, timelines, and fees are defined in individual proposals or contracts.
Information on this website is for general description only and does not constitute a binding offer until confirmed in writing.
Accounts and acceptable use
Where you receive portal access, you are responsible for keeping credentials confidential and for activity under your account. You must provide accurate information and not misuse our systems, attempt unauthorised access, or interfere with other users.
We may suspend or terminate access for breach of these Terms or where necessary to protect security.
Payment terms
Fees, invoicing schedules, and payment methods are set out in your project agreement or invoice. Unless otherwise agreed, invoices are payable within the period stated on the invoice.
Unless otherwise agreed in the offer or project agreement, the following payment plan applies to project work: 30 % of the agreed project fee is due as a deposit when the offer is accepted and before the project starts, and the remaining 70 % is due on acceptance or handover of the finished project. We begin implementation once the deposit has been received.
Care and maintenance plans are billed monthly.
Vexoris Development operates as a Kleinunternehmer under §19 UStG (German VAT Act). Invoices do not include VAT unless our tax status changes and this is communicated in writing.
Vouchers and referral codes
Voucher and referral codes ("codes") can be entered in the price estimator on our website or provided with your enquiry. Only one code can be redeemed per enquiry or order; codes cannot be combined unless expressly stated for the code.
A code only reduces the one-time project price, not monthly care and maintenance plans. Depending on the code, the discount is a percentage or a fixed euro amount. A code may be limited to a maximum discount or valid only for certain packages; the discount can reduce the project price to no less than €0.
We set the validity period and the maximum number of redemptions for each code. Expired, deactivated, or fully used codes cannot be redeemed.
The discount shown in the price estimator is for orientation only. The discount confirmed in our written offer is binding.
A code must be provided with the enquiry and in any case before the invoice is created. Codes cannot be applied retroactively to invoices that have already been issued or paid. Codes cannot be exchanged for cash; any unused remainder is neither paid out nor credited.
If a referrer receives a reward for a referral code, it is governed solely by the separate agreement made with them and is not automatically offset against invoices.
In the event of misuse of a code — for example through manipulation or deception — we may block the code and cancel any discount granted on that basis, within the limits of the law.
Hosting, source code, and usage rights
Websites and applications we build run on our own hosting and storage infrastructure. Source code, frameworks, components, and studio know-how remain our property and are not transferred or handed over (closed source).
For the duration of the contract, the client receives a simple, non-transferable right to use the website built for them for its intended purpose.
Content and data provided by the client (e.g. texts, images, customer data) remain the client's property. On request — in particular when moving to another provider — we provide the client with all of their content and data in a common format.
Domains are registered in the client's name or transferred to the client on request. The client may not use our name, logo, or case study materials for marketing without our prior written consent.
Limitation of liability
We provide services with professional care and skill. To the fullest extent permitted by applicable law, our liability for slight negligence is excluded except for breach of essential contractual obligations (Kardinalpflichten), in which case liability is limited to foreseeable, typical damage.
Liability for injury to life, body, or health, and under mandatory product liability law, remains unaffected. We are not liable for indirect loss, lost profits, or data loss except where caused by intent or gross negligence.
Governing law
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
If you are a consumer with habitual residence in the EU, mandatory consumer protection provisions of your country of residence may also apply. Statutory withdrawal rights of consumers remain unaffected.
Exclusive place of jurisdiction for merchants is, where permitted, the courts competent for our place of business.
Changes to terms
We may update these Terms to reflect legal or operational changes. The current version is always published on this page with an updated date. Material changes affecting existing contractual relationships will be communicated appropriately.
